End User License Agreement — Josepht QuickBooks Integration

This End User License Agreement ("Agreement") governs the use of the
Josepht QuickBooks Integration (the "Application"), a private, internal
software tool owned and operated by Josepht Global Brands Ltd. (the
"Company"), doing business as Josepht Shoe Artisan (josepht.ca).
1. Internal use only
The Application is provided solely for the internal business use of the
Company and its authorized personnel and agents. It is not offered,
licensed, sold, or made available to the public or to any third party.
There are no external end users of the Application.
2. Purpose
The Application connects the Company's own QuickBooks Online account to
the Company's internal systems using Intuit's official APIs, in order to
retrieve, review, and manage the Company's own accounting records for
internal reporting and bookkeeping purposes.
3. License
The Company grants its authorized personnel a non-exclusive,
non-transferable, revocable right to use the Application for the purpose
described above. No other rights are granted. Users may not copy,
distribute, sublicense, or reverse engineer the Application except as
permitted by law.
4. Data
The Application accesses only the Company's own QuickBooks Online data.
Use of that data is governed by the Application's Privacy Policy.
5. No warranty
The Application is provided "as is" and "as available," without warranties
of any kind, express or implied, including fitness for a particular
purpose and non-infringement.
6. Limitation of liability
To the maximum extent permitted by the laws of British Columbia, Canada,
the Company shall not be liable for any indirect, incidental, or
consequential damages arising from use of the Application.
7. Termination
The Company may suspend or terminate access to the Application at any
time, including by revoking the Application's access within QuickBooks
Online or the Intuit developer portal.
8. Governing law
This Agreement is governed by the laws of the Province of British
Columbia and the federal laws of Canada applicable therein.
